Terms of Service

Rules for using ugc.am, the UGC apps, and collaborations between brands and creators.

Effective date: July 27, 2026

These Terms of Service (“Terms”) govern your access to and use of UGC (“UGC”, “we”, “us”, or “our”), including ugc.am, our mobile applications, and related services (together, the “Services”).

By creating an account, downloading the app, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Who we are

UGC is a creator and brand collaboration platform that helps brands discover creators, publish campaigns (Jobs), review applications, chat, manage deliverables, and handle related workflow. Creators can browse Jobs, apply, message brands, track Applied status, upload content, and receive payouts through the Services where available.

2. Eligibility

You must be at least 18 years old (or the age of majority in your country) and able to form a binding contract to use the Services. If you use the Services on behalf of a company, you represent that you have authority to bind that company to these Terms.

3. Accounts

  • You must provide accurate registration information and keep it up to date.
  • You are responsible for your login credentials and for activity under your account.
  • Notify us promptly if you suspect unauthorized access.
  • We may suspend or terminate accounts that violate these Terms, appear fraudulent, or create risk for UGC or other users.

4. Brand users

If you use UGC as a brand, agency, or similar customer, you may publish Jobs, invite or select creators, communicate in-platform, review content, and manage campaign workflow subject to your plan and any separate commercial agreement with us.

  • You are responsible for the accuracy of briefs, budgets, deliverable requirements, deadlines, and usage-rights instructions you publish.
  • You must only request content and usage rights that you are legally allowed to request and pay for.
  • You must treat creators fairly and comply with applicable advertising, consumer, and employment/contractor laws in your market.

5. Creator users

If you use UGC as a creator, you may browse Jobs, submit applications, chat with brands after acceptance where applicable, upload deliverables, and track status in the app.

  • You must be able to create original photo/video/text content as described in each Job.
  • You must only apply to Jobs you can complete in good faith and on time.
  • You are responsible for the legality of your content (including music, logos, locations, and people appearing in it) and for disclosures required by advertising rules (for example sponsored content labels).
  • Having social accounts (TikTok, Instagram, YouTube, etc.) may be required for some Jobs; requirements are shown on each Job before you apply.

6. Campaigns, applications, and messaging

UGC provides tools for Jobs, applications (Applied), messaging, notifications, and related status tracking. UGC does not guarantee that any Job will be offered to you, that any application will be accepted, or that any brand–creator collaboration will be completed.

  • Communications between brands and creators should stay professional and related to the collaboration.
  • Do not use messaging to spam, harass, solicit off-platform payment fraud, or share malware.
  • We may review or remove messages or content that violate these Terms or applicable law when we become aware of them.

7. Content and intellectual property

Your content. You retain ownership of content you upload, subject to licenses you grant under a Job, brief, or separate agreement with a brand.

License to brands. When a creator delivers content for a Job and the brand accepts it, the usage rights (organic posting, paid social, duration, territories, whitelisting, etc.) are defined by that Job/brief and any written confirmation in the Services. Creators grant brands the rights needed to use the approved deliverables as stated there.

License to UGC. You grant UGC a non-exclusive license to host, store, process, display, and transmit your content as needed to operate the Services (including previews, moderation, support, and backups).

UGC materials. The Services, branding, software, and our materials are owned by UGC or our licensors. You may not copy, scrape, reverse engineer, or misuse them except as allowed by law.

8. Payments, wallet, and fees

Where payouts are available, creator earnings for approved work may be credited to a UGC wallet and withdrawn using supported methods. Brands are responsible for paying amounts owed under Jobs and any platform or managed-service fees agreed with UGC.

  • Payment timing depends on approval of deliverables and the payment method selected.
  • Taxes are your responsibility unless we expressly state otherwise.
  • We may withhold, reverse, or delay payments in cases of fraud, chargebacks, policy violations, or disputed deliverables.
  • Product seeding, reimbursements, or free product Jobs follow the details stated on each Job.

9. Acceptable use

You agree not to:

  • break any law or infringe others’ rights;
  • upload illegal, hateful, pornographic (where prohibited), deceptive, or infringing content;
  • impersonate others or misrepresent your affiliation, metrics, or audience;
  • interfere with the Services, attempt unauthorized access, or overload our systems;
  • scrape or harvest user data without permission;
  • use the Services to run competing marketplaces using our data without consent.

10. Third-party services

The Services may integrate with or link to third parties (app stores, social networks, payment processors, analytics). Their terms and privacy policies apply to those services. UGC is not responsible for third-party services you choose to use.

11. Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, UGC disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, or that Jobs, creators, or brands will meet your expectations.

12. Limitation of liability

To the fullest extent permitted by law, UGC and its directors, employees, and partners will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our aggregate liability arising out of these Terms or the Services will not exceed the greater of (a) the fees you paid to UGC for the Services in the 3 months before the claim or (b) USD 100, except where liability cannot be limited by law.

13. Indemnity

You will defend and indemnify UGC against claims, damages, and expenses arising from your content, your use of the Services, your collaborations, or your violation of these Terms or applicable law.

14. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, create risk, or if we discontinue the Services. Provisions that should survive (including IP, payments owed, disclaimers, liability limits, and indemnity) will survive termination.

15. Changes

We may update these Terms from time to time. We will post the updated version on this page and revise the effective date. Continued use after changes means you accept the updated Terms. If you do not agree, stop using the Services.

16. Governing law

These Terms are governed by the laws of the Republic of Armenia, without regard to conflict-of-law rules, unless mandatory consumer protections in your country require otherwise. Courts in Yerevan, Armenia will have jurisdiction, subject to those mandatory protections.
